Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CIBOShare (“CIBOShare”, “we”, “us”, or “our”), a marketplace operated by DIActions that connects home cooks with neighbors who want to order homemade food (“cibos”). By creating an account, placing an order, or publishing a cibo, you agree to these Terms.

1. Who may use CIBOShare

You must be at least 18 years old and able to enter a binding contract. You are responsible for keeping your login credentials secure and for activity under your account. Provide accurate registration information, including a valid email address and phone number where requested.

2. Accounts

• Buyers may browse, order, message cooks, save favorites, and leave ratings where available.
• Cooks may publish cibos, set availability, accept orders, and receive payouts through supported payment methods.
• We may suspend or terminate accounts that violate these Terms, applicable law, or community safety standards.
• One person should not maintain multiple accounts to evade restrictions, manipulate reviews, or abuse the platform.

3. Marketplace role

CIBOShare provides listing, search, messaging, checkout, and notification tools. We are not a party to the sale of food between cooks and buyers. Cooks set their own menus, prices, pickup or delivery options, and availability. Any agreement about timing, allergens, or special requests is between you and the other user, though we may provide order records to help resolve disputes.

4. Payments

• Prices, fees, taxes, and accepted payment methods are shown at checkout. Supported processors may include Stripe, PayPal, and Interac e-Transfer where enabled.
• By paying, you authorize us and our payment partners to charge your selected method for the order total, platform fees, and applicable taxes.
• Cooks receive payouts according to the payout schedule and verification requirements of the relevant payment provider. We may withhold or reverse payouts when required by law, payment network rules, or a credible fraud or safety investigation.
• Chargebacks and payment disputes should be raised promptly through CIBOShare support at info@ciboshare.com before initiating a bank dispute where possible.

5. Orders, cancellations, and refunds

• Before acceptance: Buyers may cancel an unpaid or pending request according to the options shown in the app.
• After acceptance: Cancellation terms depend on the cook’s stated policy and how close the order is to preparation or pickup time. Contact the cook through order messaging as soon as possible.
• Cook cancellation: If a cook cancels after payment, the buyer should receive a full refund of the food portion unless both parties agree otherwise.
• No-shows and late pickup: Cooks may mark an order complete after a reasonable wait. Repeated no-shows may affect your account standing.
• Refunds are processed back to the original payment method when technically possible. Processing times depend on your bank or card issuer.

6. Homemade food, allergens, and health

• Food is prepared in home kitchens that are not commercial restaurant facilities unless the cook states otherwise.
• Cooks must describe major allergens and ingredients honestly to the best of their knowledge. Buyers with allergies or dietary restrictions must confirm details directly before ordering.
• CIBOShare does not inspect kitchens, certify food safety, or guarantee that any dish meets regulatory licensing requirements in your area.
• You assume the risks associated with consuming food prepared by independent home cooks, including illness, allergic reaction, or cross-contamination.

7. Cook responsibilities

If you publish cibos, you agree to comply with applicable local laws on home-based food sales, business registration, tax reporting, and food safety. You will provide accurate descriptions, photos, pricing, and availability. You will fulfill accepted orders in good faith and communicate promptly about delays or issues.

8. Buyer responsibilities

Provide accurate contact and pickup or delivery details. Arrive on time or respond to messages about your order. Pay agreed amounts through CIBOShare checkout unless we explicitly allow another method. Treat cooks and neighbors respectfully.

9. Reviews and content

You retain ownership of content you submit, but grant CIBOShare a non-exclusive license to display, store, and promote it on the platform. Do not post unlawful, misleading, harassing, or infringing content. We may remove content or reviews that violate these Terms.

10. Prohibited conduct

You may not use CIBOShare to sell illegal items, circumvent platform fees, scrape data, spam users, impersonate others, interfere with site security, or engage in fraud. Off-platform payment for orders initiated on CIBOShare is discouraged and may lead to account action.

11. Communications

We may send service-related emails and SMS messages about account security, orders, payouts, and policy updates. Optional marketing or profiling uses require your separate consent as described in our Privacy Policy.

12. Disclaimers

CIBOShare is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted service, error-free listings, or the conduct of any user.

13. Limitation of liability

To the maximum extent permitted by law, DIActions and CIBOShare will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from your use of the platform or any food purchased through it. Our aggregate liability for any claim relating to the service is limited to the greater of (a) amounts you paid to CIBOShare in fees during the three months before the claim, or (b) CAD $100.

14. Indemnity

You agree to indemnify DIActions against claims arising from your content, your food preparation or consumption, your breach of these Terms, or your violation of applicable law.

15. Changes

We may update these Terms from time to time. We will post the revised version with a new “Last updated” date. Continued use after changes become effective constitutes acceptance. Material changes may also be notified by email or in-app notice where appropriate.

16. Governing law and contact

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Questions may be sent to info@ciboshare.com.
